Organizer Terms — Organizer Inventory & Distribution Agreement

These Organizer Terms govern your use of ChikChik to make tickets available for distribution through the ChikChik platform. If you create an organizer account, submit an event, provide ticket inventory to ChikChik, or otherwise use ChikChik as an organizer, you agree to these terms.

ChikChik Technologies, Inc. operates a mobile platform for discovering in-person events and distributing tickets to attendees. Under this Agreement, Organizer makes ticket inventory available to ChikChik for distribution to customers through the ChikChik platform.

ChikChik, and not Organizer, is the merchant of record for customer purchases made through the platform unless expressly stated otherwise in writing.

1. Organizer appointment of ChikChik as distributor

Organizer appoints ChikChik as a limited distributor and reseller of Organizer’s event tickets through the ChikChik platform.

Organizer authorizes ChikChik to market, offer, distribute, and sell such tickets to customers in ChikChik’s own name through the platform.

Organizer makes ticket inventory available to ChikChik at no upfront charge unless otherwise agreed in writing. Organizer may recommend a retail price for each ticket type, and ChikChik may rely on that recommended price when offering tickets to customers.

2. Title to event and responsibility for event delivery

Organizer remains solely responsible for creating, producing, managing, staffing, and delivering the event itself. ChikChik distributes tickets and handles the customer-facing transaction, but ChikChik does not assume responsibility for producing or operating the event itself.

  • Accuracy of all event information provided to ChikChik
  • Compliance with all applicable laws, permits, licenses, venue requirements, and safety obligations
  • Admission policies, age restrictions, and entry requirements
  • The actual presentation of the event as described
  • Responding to ChikChik’s reasonable requests relating to the event, attendees, refunds, disputes, or verification

3. Ticket inventory and pricing

Organizer agrees to provide accurate ticket inventory information, including ticket types, quantities, restrictions, event date and time, venue information, and any other material terms relevant to admission.

Organizer may recommend a ticket price. ChikChik may list and sell tickets at the recommended price or at another price determined by ChikChik in its discretion, unless otherwise agreed in writing with Organizer.

Organizer represents that it has full authority to allocate the ticket inventory it provides to ChikChik and that ChikChik’s distribution and sale of such inventory will not violate any contract, venue rule, law, or third-party right.

4. Customer purchase relationship

When a customer purchases a ticket through ChikChik, the customer pays ChikChik. ChikChik issues the customer’s receipt and ticket, including any QR code or other proof of purchase used for entry.

Organizer acknowledges that customer payments are received by ChikChik for ChikChik’s ticket distribution transaction. Organizer is not the direct seller to the customer for tickets sold through the ChikChik platform under this Agreement.

5. Organizer settlement after event

Subject to this Agreement, ChikChik will calculate the amount payable to Organizer after the event has concluded.

Unless otherwise agreed in writing, settlement to Organizer will generally occur after the event is completed, typically within approximately 5 business days following event completion, subject to review, verification, reserves, refunds, disputes, chargebacks, and fraud checks.

The amount payable to Organizer will generally equal the applicable ticket proceeds received by ChikChik for Organizer’s ticket inventory, minus ChikChik’s fees, refunds, chargebacks, reversals, processor costs, promotional discounts funded by ChikChik or allocated to the event, and other amounts owed under this Agreement.

6. Refunds, cancellations, postponements, and event changes

Organizer must promptly notify ChikChik of any cancellation, postponement, venue change, headline-performer change, or other material change affecting the event.

If an event is cancelled, materially changed, not delivered as described, or subject to a refund requirement under applicable law or ChikChik policy, ChikChik may issue refunds to customers.

Organizer remains economically responsible to ChikChik for refunds, chargebacks, customer claims, and losses arising from Organizer’s event, including cancellations, non-performance, fraud, inaccurate listings, or material changes.

If ChikChik issues refunds or incurs losses relating to Organizer’s event, ChikChik may deduct those amounts from sums otherwise payable to Organizer or recover them by any other lawful means.

7. Verification and proof of event

To protect customers and reduce fraud and non-delivery risk, ChikChik may require identity verification, business verification, bank account verification, proof of venue rights, proof of event authorization, permits, performer confirmations, insurance, or other supporting documentation.

If Organizer does not provide requested information promptly, ChikChik may reject or remove the event, pause sales, delay settlement, hold reserves, or suspend Organizer’s access to the platform.

8. One organizer per order

To reduce operational confusion and improve customer support, each checkout/order on ChikChik may contain tickets associated with one organizer or event source only.

9. Reserves, setoff, and risk controls

ChikChik may impose reserves, rolling holds, delayed settlement, transaction limits, or other risk controls where ChikChik reasonably believes they are necessary to protect customers, payment partners, or the platform.

ChikChik may set off refunds, chargebacks, fees, penalties, customer claims, or other amounts owed by Organizer against current or future amounts otherwise payable to Organizer.

10. Organizer representations and warranties

Organizer represents and warrants that the following are true:

  • Organizer has all rights and authority necessary to provide ticket inventory to ChikChik for distribution
  • All event information supplied to ChikChik is accurate, complete, and not misleading
  • The event is lawful and will be conducted in compliance with applicable law and venue requirements
  • Tickets made available to ChikChik are valid for admission as described
  • Organizer will not use ChikChik for deceptive, fraudulent, sham, or prohibited activity

11. Prohibited events and restricted activity

Organizer may not use ChikChik for illegal, deceptive, harmful, or prohibited events or transactions. ChikChik may remove events or suspend Organizer accounts for prohibited, deceptive, or high-risk conduct.

  • Illegal activity or illegal goods/services
  • Adult sexual services or prohibited adult content
  • Gambling, raffles, sweepstakes, or similar restricted activity
  • Misleading or bait-and-switch events
  • Money movement or third-party payment activity disguised as ticketing
  • Any event category prohibited by ChikChik policy, applicable law, or payment partner requirements

12. Indemnity

Organizer will indemnify, defend, and hold harmless ChikChik and its officers, directors, employees, and agents from and against claims, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to Organizer’s event, breach, legal violation, cancellation, postponement, material change, attendee harm, or lack of authority to provide ticket inventory.

13. Suspension and termination

ChikChik may suspend, restrict, or terminate Organizer’s use of the platform at any time if ChikChik believes Organizer presents risk to customers, payment partners, or the platform, including due to disputes, fraud concerns, verification issues, legal concerns, excessive refunds, or policy violations.

Sections that by their nature should survive termination will survive, including provisions relating to settlements, refunds, chargebacks, reserves, indemnity, and liability.

14. Changes and contact

ChikChik may update these terms from time to time by posting the updated version on this page. Continued use of ChikChik after an update constitutes acceptance of the revised terms.

Payments

Payments, Settlements & Refunds Addendum

This Addendum is part of the Organizer Inventory & Distribution Agreement and applies to all ticket inventory made available by Organizer to ChikChik and all related customer transactions processed through the ChikChik platform.

In the event of any conflict between this Addendum and another organizer-facing policy, this Addendum will control with respect to payment flow, settlement timing, and refund handling for ticket inventory distributed by ChikChik.

1. Merchant-of-record structure

For ticket transactions covered by this Agreement, ChikChik is the merchant of record for the customer-facing sale. Customers pay ChikChik directly through the platform.

Organizer acknowledges that Organizer is not collecting payment directly from the customer through ChikChik for these transactions.

2. Post-event settlement model

ChikChik generally settles with Organizer after the event concludes rather than before the event takes place.

Settlement timing may vary depending on verification status, event risk, event lead time, volume, refund activity, chargeback activity, payment processor requirements, and other compliance or risk considerations.

3. Calculation of amounts payable to Organizer

Amounts payable to Organizer may be reduced by the following:

  • ChikChik platform fees
  • Payment processing costs
  • Refunds and reversals
  • Chargebacks and dispute losses
  • Reserves and risk holds
  • Discounts, credits, or promotions allocated to the event
  • Any other amounts Organizer owes to ChikChik under the Organizer Terms or this Addendum

4. Refund authority

ChikChik may issue full or partial refunds to customers when reasonably necessary, including in connection with event cancellations, postponements, material changes, duplicate charges, fraud concerns, non-delivery, customer protection, legal compliance, or dispute mitigation.

5. Organizer economic responsibility

Organizer remains financially responsible to ChikChik for customer refunds, chargebacks, dispute losses, penalties, and event-related losses arising from Organizer’s event or conduct.

ChikChik may recover such amounts by deduction from settlement, reserve application, setoff, invoice, or any other lawful collection method.

6. Required cooperation

Organizer agrees to cooperate promptly with ChikChik regarding refund requests, customer complaints, disputes, verification requests, proof-of-event requests, and payment-risk review.

7. No off-platform refunding

Organizer may not direct customers to seek off-platform card refunds for purchases made through ChikChik. All platform-originated card refunds must be handled through ChikChik’s payment flow.

8. Statement descriptor and customer clarity

ChikChik may use a statement descriptor such as CHIKCHIK or CHIKCHIK*EVENTNAME and may include event or organizer details on confirmations and receipts for customer clarity.
